Terms of Service -- Venatri

These Terms of Service ("Terms") govern your access to and use of Venatri (the "Service"), operated by Smart Technology Investments LLC ("Company," "we," "us," "our"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Venatri, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Venatri uses publicly available BLS, Census, IRS, and SBA data along with Monte Carlo simulation to model small business launch costs and viability. The Service provides estimated startup costs, survival probabilities, break-even timing distributions, cash runway projections, and sensitivity analysis. The Service is informational only.

3. Not Financial or Business Advice

Venatri is not a licensed financial advisor, accountant, or attorney. The viability estimates and cost projections provided are based on publicly available data and statistical models. They do not constitute recommendations to start, invest in, or decline any specific business venture.

You should always:

Consult a licensed accountant for tax and financial planning
Consult an attorney for legal structure decisions
Work with an SBDC advisor for personalized business planning
Verify all cost estimates with local vendors, landlords, and suppliers

4. Data Accuracy Disclaimer

Our estimates are derived from BLS BED survival data, Census BDS business dynamics, IRS SOI income statistics, and SBA loan performance data that are updated on their own schedules. We do not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of data derived from third-party sources.

Monte Carlo simulations show probability distributions, not predictions. Past industry survival rates do not guarantee future outcomes for any individual business. Startup cost estimates are based on industry averages and may not reflect your specific situation.

5. Permitted Use

You may use the Service for lawful personal or commercial research purposes. You agree not to:

Reproduce, resell, or sublicense our analysis outputs without a commercial license
Scrape or systematically extract data from the Site beyond API rate limits
Represent our data as official government data or as financial advice
Attempt to reverse-engineer our simulation algorithms or scoring methodology
Use the Service to harass, defame, or harm any person or entity

6. Credits and Billing

Venatri uses a per-report credit system. Credits are purchased as one-time payments (not subscriptions) via Stripe. Single reports cost 1 credit ($12), report packs provide 5 credits ($35), and API credit packs are available for developers. All fees are in U.S. dollars and are non-refundable except as required by applicable law. We may change pricing with 30 days' notice.

7. API Access

API subscribers receive API access subject to rate limits specified in the API documentation. API credentials are non-transferable. You are responsible for securing your API keys. We reserve the right to suspend API access for abuse or excessive usage.

8. Intellectual Property

The Service, including its design, simulation methodology, software, and compiled data outputs, is owned by Smart Technology Investments LLC and protected by copyright and other intellectual property laws. The underlying government datasets are in the public domain. Our original expression, analysis, and simulation methodology are proprietary.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART TECHNOLOGY INVESTMENTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Smart Technology Investments LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.

13. Changes to Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or prominent Site notice. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Unused credits are non-refundable upon termination.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smart Technology Investments LLC with respect to the Service.
